Job Purpose

As Corporate Counsel Sr you will be the commercial in-house lawyer primarily responsible for drafting, reviewing, and negotiating Sales Terms & Conditions and Purchase Orders in a manufacturing environment.

The role supports plant operations and commercial teams while ensuring strict alignment with Ruhrpumpen’s global legal standards and risk allocation framework.

Direct reporting line to the CLO in Mexico.

Job Responsibilities

 

  • Draft, review, negotiate, and manage a broad range of commercial agreements, including customer contracts, supplier agreements, MSAs, NDAs, LOIs, MOUs, purchase orders, service agreements, leases, and related documentation.
  • Lead contract negotiations to protect company interests while supporting business objectives and operational needs.
  • Identify and mitigate contractual and commercial risks, including liability, indemnification, warranties, insurance, governing law, and dispute resolution provisions.
  • Provide day-to-day legal support to Sales, Procurement, HR, Finance, and Operations teams.
  • Support commercial transactions, contract finalization, claims management, and coordination with external legal counsel.
  • Ensure compliance with applicable corporate, labor, data privacy, and industry-specific regulations in India.
  • Maintain corporate records, licenses, legal documentation, contract repositories, and internal legal policies.
  • Support internal and external audits and provide regular reporting on legal matters and risk exposure.
  • Collaborate with global headquarters to align local contracts, policies, and risk management practices with corporate standards.
  • Assist with cross-border commercial matters and adapt global templates to local legal requirements while preserving company risk allocation principles.

Qualifications

  • Bachelor’s Degree in Law (LLB) required.
  • 2-4 years of experience in commercial, corporate, or business law, either in-house or with a law firm.
  • Proven experience drafting, reviewing, and negotiating commercial contracts.
  • Experience supporting manufacturing, industrial, engineering, or supply chain environments preferred.
  • Strong English communication and legal drafting skills.
  • Sound commercial judgment with the ability to balance legal risk and business objectives.
  • Self-motivated, organized, and capable of working independently in a global organization.
  • High level of integrity, professionalism, and confidentiality.
